Terms of Service

1. Who these terms are with

These Terms of Service ("Terms") are a legal agreement between TrussPath, LLC, a Colorado limited liability company ("TrussPath," "we," or "us"), and the person or business ("you") that creates an account or otherwise uses trusspath.com and any related web or mobile applications (the "Service").

By clicking "Sign up," accepting an invitation, or using the Service, you accept these Terms. If you're signing up on behalf of a company, you promise you have authority to bind that company.

2. Accounts and workspaces

A TrussPath "workspace" (also called a tenant) is the shared environment where your company's employees, technicians, customers, jobs, and financial records live. You control who has access. You're responsible for:

• Keeping your login credentials secure.
• What your employees, technicians, and other invited users do in your workspace.
• Making sure your use of TrussPath complies with the laws that apply to you.

3. Fees, payment, and refunds

TrussPath is a paid subscription. Pricing is listed on our homepage or in an order form you've signed. Subscriptions renew automatically for the same term (monthly or annual) until cancelled. You authorize us and our payment processor (Stripe) to charge your payment method on file.

Free trials

If we offer a free trial, we'll tell you the length up front. When the trial ends, your subscription starts and you'll be charged unless you cancel first.

Refunds

Fees are non-refundable except where required by law, or where we've caused a material outage or billing error. If you cancel mid-cycle, you keep access until the end of the paid period; we don't pro-rate refunds.

Taxes

Fees don't include sales, use, VAT, or similar taxes. Where required, we'll add applicable taxes to your invoice.

4. Your data

Everything you and your team put into TrussPath — customer contacts, job details, photos, notes, estimates, invoices, payroll data, and any other content — is your data. You own it. You grant TrussPath a limited license to host, process, back up, and display your data solely to operate and improve the Service for you.

You're responsible for making sure you have the rights to upload any customer information you put into the Service, and for handling that information consistent with applicable privacy law. Our Privacy Policy explains how we handle personal information.

5. Acceptable use

You agree not to:

• Use the Service to violate any law or infringe anyone's rights.
• Upload malware or attempt to break, probe, or overload the Service.
• Reverse-engineer the Service, or resell it as your own product.
• Use the Service to send unsolicited marketing (spam) or texts you don't have consent to send.
• Impersonate someone else or misrepresent your affiliation with a business.

6. Payments processing (Stripe)

TrussPath uses Stripe to help you collect payment from your customers and to bill you for your subscription. When you connect Stripe, Stripe's own terms and privacy notices also apply. TrussPath doesn't store full credit card numbers on our servers.

7. Payroll and tax filings

TrussPath can format payroll data for import into third-party payroll providers (Gusto, QuickBooks Payroll, ADP RUN, Rippling, OnPay, Paychex). TrussPath is not a payroll service and does not file payroll or income taxes on your behalf. You're responsible for paying employees correctly, filing federal and state payroll taxes, remitting FAMLI and workers' comp premiums, and meeting all Colorado and municipal wage-and-hour laws.

TrussPath's automatic overtime and sick-leave calculations follow our best reading of Colorado law (COMPS Order, HFWA) at the time we build them. You're responsible for reviewing the results before paying anyone.

8. Service availability and changes

We work hard to keep TrussPath up, but we don't guarantee it will always be available or error-free. We may add, change, or remove features as the product evolves. If a change materially reduces functionality you rely on, we'll try to give you reasonable notice.

9. Cancellation and termination

You can cancel your subscription any time from your billing settings, or by emailing us. We may suspend or terminate your account if you materially breach these Terms, if payment fails and stays unpaid after we've tried to reach you, or if we're legally required to. If we terminate you without cause, we'll refund any prepaid, unused portion of your subscription.

After cancellation, we'll keep your workspace data available for at least 30 days so you can export it. After that we may delete it. Export tools are available inside the app.

10. Confidentiality

We'll treat your workspace data as confidential and won't share it with third parties except: (a) our infrastructure vendors under confidentiality obligations (see the Privacy Policy); (b) if you tell us to; or (c) if we're required by law (in which case we'll notify you unless the request prohibits it).

11. Intellectual property

TrussPath, the trusspath.com website, our brand, and the Service are our intellectual property. Nothing in these Terms transfers ownership of the Service to you. You're welcome to send us feedback, and if you do, we can use it without any obligation to you.

12. Warranties (or lack thereof)

The Service is provided "as is" and "as available." We disclaim all warranties to the maximum extent allowed by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Service will be uninterrupted or error-free, or that any calculation (payroll, tax, overtime, margin, or otherwise) is exact.

13. Limitation of liability

To the maximum extent allowed by law, TrussPath's total liability for any claim relating to the Service is limited to the amount you paid us in the twelve months before the claim arose. We aren't liable for lost profits, lost data, business interruption, or any indirect, incidental, or consequential damages. Some jurisdictions don't allow these limits, so they might not apply to you.

14. Indemnification

You agree to defend and indemnify TrussPath against third-party claims arising from your use of the Service, your data, or your breach of these Terms — for example, claims by your customers, your employees, or a taxing authority.

15. Governing law and disputes

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws rules. Any lawsuit must be filed in the state or federal courts located in Denver County, Colorado. You and TrussPath both consent to that jurisdiction.

16. Changes to these Terms

We may update these Terms from time to time. If a change is material, we'll notify you by email or in-app at least 15 days before it takes effect. Continued use of the Service after a change means you accept it.
